Public issue of up to 8,700,000 equity shares of face value alue of Rs10 each (the "equity shares") of Apex Frozen Foods limited (the "company" or "issuer") for cash at a price of Rs175 per equity share (including a share premium of Rs165 per equity share) aggregating up to Rs152.25 Crores (the "issue") comprising of a fresh issue of 7,250,000 equity shares by the company aggregating to Rs126.88 crores (the "fresh issue") and an offer for sale of 725,000 equity shares by karuturi satyanarayana murthy referredto as the promoter selling shareholder") and 725,000 equity shares by karuturi padmavathi (referred to as ("the promoter group selling shareholder") (together referred to as the selling shareholders") aggregating to Rs2.54 crores ("offer for sale"). The issue includes a reservation of 400,000 equity shares, aggregating to Rs7 crores, for subscriptionby eligible employees (as defined herein) not exceeding 5% of the post-issue paid up equity share capital (the "employee Reservation portion"). The issue less the employee reservation is hereinafter referred to as the "net issue". The issue would constitute 27.84 %, of the post-issue paid-up equity share capital and the net issue to the public would constitute 26.56% of the post-issue paid-up share capital.
The issue price: Rs175 per equity share of face value of Rs10 each.
The issue price is 17.5 times of the face value.
