Initial public offer upto 66,00,000 equity shares of face value of Rs10/- each ("Equity Shares") of Dove Soft Limited ("Company") for cash at a price of Rs104-111 per equity share (including a share premium of Rs94-101 per equity share) ("Offer Price") aggregating up to Rs68.64-73.26 Crores comprising a fresh issue up to 53,28,000 equity shares of face value of Rs10/- each by the company aggregating up to Rs55.41-59.14 (the "Fresh Issue") and an offer for sale up to 12,72,000 equity shares of face value of Rs10/- each ("Offer for Sale") aggregating up to Rs13.23-14.12 Crores, comprising up to 6,36,000 equity shares aggregating up to Rs6.61-7.06 Crores by Rahul Bhanushali, up to Rs[*] crores and comprising up to 6,36,000 equity shares aggregating up to Rs6.61-7.06 Crores by Sky Occean Infrastructure Limited (Together, the "Selling Shareholders", and such equity shares, the "Offered Shares") of which up to 3,30,000 equity shares of face value of Rs10/- each for cash at a price of Rs104-111 per equity share including a share premium of 94-101 per equity share aggregating to Rs3.43-3.66 Crores will be reserved for subscription by market maker to the offer (the "Market Maker Reservation Portion"). The offer less the market maker reservation portion i.e. Net offer of 62,70,000 equity shares of face value of Rs10/- each at a price of Rs104-111 per equity share aggregating to Rs65.21-69.60 Crores is herein after referred to as the "Net Offer". The offer and the net offer will constitute 27.06% and 25.71% respectively of the post offer paid up equity share capital of the company.
Price Band: Rs104/- to Rs111/- per equity share of face value Rs10/- each.
The floor price is 10.40 times of the face value of the equity shares and the cap price is 11.10 times of the face value of the equity shares.
Bids can be made for a minimum of 2400 equity shares and in multiples of 1200 equity shares thereafter.
